Cloud usage agreement

The following explains your rights, obligations, and billing rules when renting Apple Silicon cloud machines. By continuing to use the console, placing an order, or signing in, you acknowledge that you have read and agree to these terms.

How these terms take effect

This agreement is established between you and VpsGona (referred to as "we" or "the platform").

This document is the User Service Agreement. "You" refers to the account holder or actual user.

You are deemed to have read and accepted this agreement in full upon any of the following:

  • Clicking "Agree", "Confirm", or similar controls during registration, sign-in, or checkout;
  • Accessing the website, console, or API in any way;
  • Completing the account opening process.

If you do not accept any term, please stop using the service immediately. Persons under 18 may not register or use the service.

What we provide

Remote compute and associated capabilities delivered via Apple Silicon hardware, including the Mac Mini M4.

Typical capabilities include (subject to what is actually live at the time):

  • Dedicated physical machine rental by duration (daily / weekly / monthly / quarterly)
  • SSH command-line access
  • VNC graphical desktop
  • Public network connectivity and bandwidth quota
  • Basic technical support

We may modify, add, or remove features without prior notice. The platform's actual delivery at the time of service governs, and we assume no liability for changes in form.

Accounts & credentials

Accurate information, one account per person, keep your password safe.

Registration information

You must provide truthful, accurate, and complete information and keep it up to date. Any consequences arising from false information are your responsibility. Each user may hold only one primary account.

Security responsibility

You are responsible for your password and session. Actions taken within your account are deemed your own. If you discover unauthorized access, notify us promptly via ticket; we cannot be held liable for actions that occurred before the report.

Transfer restrictions

Without written permission, you may not sell, lend, or sublease your account or its entitlements. In case of breach, we may immediately suspend the account without refund.

Acceptable use

Resources may only be used for lawful purposes in compliance with applicable laws.

The following actions may result in immediate service termination without refund:

  • Violating any applicable law or regulation
  • Network attacks, DDoS, scanning, or unauthorized access to third-party systems
  • Sending spam or conducting phishing
  • Distributing malware, viruses, ransomware, or similar threats
  • Unauthorized cryptocurrency mining
  • Operating proxies, VPNs, or large-scale traffic relay without written permission
  • Infringing third-party intellectual property, privacy, or other rights
  • Damaging platform infrastructure, network stability, or other users' interests
  • Attempting to bypass security or technical restrictions
We may conduct reasonable monitoring of activities. If we suspect a violation, we reserve the right to suspend an instance and investigate without prior notice; fees continue to accrue during the investigation period.

Pricing & renewal

Prepaid in USD, auto-renewal under your control, price changes do not apply retroactively to the current period.

Prepayment & periods

Fees are denominated in USD and prepaid before service begins. Once a billing period (daily / weekly / monthly / quarterly) is confirmed, it cannot be shortened to a shorter tier. Fees paid are non-refundable.

Auto-renewal

If auto-renewal is not disabled in the console before the end of the current period, the system will charge and renew for the same period automatically.

Price changes

We reserve the right to adjust list prices. Prices remain unchanged for already-purchased periods; new prices take effect from the next billing cycle.

Taxes

Displayed prices exclude applicable taxes. Any tax obligations arising from your use of the service are your responsibility to fulfill.

Operations & maintenance

We strive to meet monthly network availability targets; maintenance windows are communicated separately.

Availability

Our target monthly network availability is 99.0% (excluding planned maintenance and force majeure). This is a goal, not a legally enforceable service-level commitment.

Maintenance

Planned maintenance will be announced in advance where possible; emergency maintenance may be performed without notice. Maintenance downtime is excluded from SLA calculations.

Fair use

Instances have defined CPU, memory, disk, and bandwidth specifications. If your traffic or behavior unreasonably affects the shared network or other tenants, we may restrict or suspend the relevant resources without further notice.

Backup & data retention

The platform does not perform automatic backups on your behalf; data will be erased on schedule after expiry.

Backup is entirely your responsibility. We accept no liability for data loss or irrecoverability due to any cause, including but not limited to:

  • Hardware failure or accidental damage
  • Deletion following service termination or account suspension
  • User error or software defects
  • Natural disasters or other force majeure events

After a subscription expires or a contract ends, instance data will be permanently wiped within 72 hours. Please migrate any important data before this deadline.

We recommend syncing critical data to a separate object store, off-site repository, or another cloud storage service to maintain offline or geo-redundant backups.

Content & branding

The interface and code belong to the platform; content you upload remains yours.

The website, logos, copy, components, software, and API documentation are VpsGona assets protected by intellectual property law. They may not be copied, adapted, or redistributed without permission.

Ownership of data stored in your instance does not change. For hosting and transmission purposes, you grant us a limited, non-exclusive license to process that data during the service period.

You agree that we may use anonymized, aggregated operational metrics for performance optimization and product development.

Disclaimer of warranties

Implied warranties are excluded to the extent permitted by applicable law.

Except as required by mandatory law, we make no implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We are not liable for:

  • Outages caused by backbone network or carrier failures
  • Natural disasters, war, government action, pandemics, or other force majeure events
  • Disruptions to third-party services such as payment processors or upstream bandwidth providers
  • Hacking or malicious third-party actions
  • Damage or loss caused by user error
  • Third-party claims arising from content you host
  • Downtime required by judicial or regulatory authorities

Liability cap

Cumulative liability is capped at recent actual service fees paid.

For all claims related to this agreement or the service, VpsGona's total cumulative liability shall not exceed the total service fees you actually paid to us in the most recent calendar month prior to the dispute.

The following types of losses are not compensable, even if we have been advised of the possibility:

  • Indirect, incidental, special, or punitive damages
  • Loss of profits, business opportunities, goodwill, or the commercial value of data
  • Losses due to business interruption

Where a jurisdiction prohibits such limitations, this provision applies to the maximum extent permitted by law.

Suspension & termination

You may disable auto-renewal; we may terminate immediately under specific conditions.

Termination by you

Disable auto-renewal in the console at any time. Service stops at the end of the current period; fees paid are non-refundable.

Termination by us

In the following situations, we may immediately suspend or permanently terminate service without prior notice and without refund:

  • Violation of the prohibited activities list in Section 4
  • Overdue payment exceeding 72 hours
  • Suspected fraud or use for illegal purposes
  • Compliance required by law enforcement or regulatory authorities
  • Conduct that seriously harms the platform or other users

Wind-down

After service ends, instance data associated with the account will be permanently deleted within 72 hours. This action is irreversible.

Updates to these terms

The online version prevails; continued use constitutes acceptance of updates.

We may revise this agreement from time to time. Updates take effect upon publication on this page with an updated date at the top. Continued use of the service after an update constitutes acceptance of the revised terms. If you do not agree, stop using the service before the effective date; already-purchased periods that have not yet expired remain primarily governed by the pre-revision text.

Governing law & dispute resolution

Good-faith communication first; litigation jurisdiction stated below.

Negotiation

Disputes should first be communicated through a ticket. We will provide an initial response within approximately 5 business days.

Jurisdiction

This agreement is governed by the laws of the People's Republic of China (excluding conflict-of-law provisions). If negotiation fails, disputes shall be submitted to the competent people's court in the jurisdiction where the operating entity is located.

Severability

If any provision is found invalid, it shall be adjusted to the minimum necessary extent, and the remaining provisions shall continue in full force and effect.
